1. Acceptance of terms
By creating a CogniSpan account, connecting a store, or using the dashboard, you agree to these Terms on behalf of your business. If you do not agree, do not use the service. These Terms form a binding agreement between COGNISPAN LLC and the contracting merchant.
2. Eligibility & accounts
You must be authorized to bind the business that owns the connected store. One account per merchant organization. You are responsible for credentials, API keys, and all activity under your account. Notify hello@cognispan.app within 24 hours of any suspected breach.
3. Your content & license
You retain ownership of your product data, order-line aggregates, pricing history, and competitor URLs you submit. You grant CogniSpan a limited license to process that data solely to operate the elasticity engine and produce suggestions for you. We never resell or expose your catalog to other merchants.
4. Acceptable use
You agree not to scrape CogniSpan itself, to reverse-engineer the model weights, to resell suggestions as a third-party service, or to point the platform at stores you do not operate or have rights to analyze. Violations may result in immediate suspension.
5. Subscriptions, billing & refunds
Plans bill monthly in advance in USD. Annual contracts are available on Growth and Enterprise. You can cancel a monthly plan at any time; access continues through the paid period. Refunds are handled case-by-case — contact hello@cognispan.app. Price changes are announced with at least 30 days notice.
6. Suggested prices & disclaimers
CogniSpan produces pricing suggestions, not legal or financial advice. Suggestions are statistical estimates based on the data you provide and may be wrong. You remain solely responsible for every price you apply, including MAP compliance and local pricing law. The model proposes; your guardrails dispose.
7. Service availability
We target 99.9% uptime on Enterprise (contractual) and best-effort availability on Starter and Growth. Maintenance is scheduled off-peak. We are not liable for outages caused by upstream marketplaces, third-party APIs, or events beyond our reasonable control.
8. Termination
Either party may terminate for material breach with 30 days written notice. On termination, your data is retained for 60 days for export, then permanently deleted from active systems. Paid periods are non-refundable except where required by law.
9. Limitation of liability
To the maximum extent permitted by law, CogniSpan's aggregate liability is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or lost-profit damages arising from pricing decisions made using the service.
10. Governing law
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in St. Louis, Missouri, and you consent to that venue.

A. What we collect
Aggregate order lines (units, revenue, timestamps), product catalogs, competitor URLs, and the pricing decisions you apply. We collect account contact details (name, email, business name) for billing and support. We do not collect shopper PII, names, or shipping addresses.
B. How we use it
Solely to run the elasticity engine, generate price suggestions, detect MAP breaches, and provide the dashboard to you. We use aggregated, de-identified patterns to improve model accuracy. We never sell your data or use it to advertise to your customers.
C. Data isolation
Each merchant's data is isolated by tenant. Row-level security enforces that your products, history, and suggestions are visible only to your account and our support staff when you open a ticket. No merchant can query another's catalog.
D. Retention
Active pricing history is retained for the life of your account. After termination, data is held 60 days for export then deleted. Audit trails of applied prices are retained up to 36 months for compliance, then purged.
E. Subprocessors
We rely on cloud infrastructure, a managed database, and payment processors to deliver the service. Current subprocessors include our cloud host, database provider, and billing provider. We will give 30 days notice of material subprocessor changes.
F. Your rights
You may export all your data as CSV at any time from the dashboard. You may request correction or deletion of your account data by emailing hello@cognispan.app. We respond to verified requests within 30 days.
G. Security
Data is encrypted in transit (TLS) and at rest. Access to production is logged and role-restricted. See the Trust & operations page for SLA, MAP policy, and incident response commitments.
